Waitcle Terms of Use Effective Date: October 7, 2025 Company: Waitcle (Representative: KIM JI MIN) Contact: help@waitcle.com (Support/Privacy) / team@waitcle.com (Business) Controlling Language: If provided in multiple languages, the Korean text prevails. 1) Acceptance & Scope These Terms apply to the Waitcle App and related web/backends. The Service may be updated from time to time. 2) Service Overview & Order-of-Precedence The Service includes productivity/entertainment features (prompt authoring/management, templates, charts/interpretations, etc.). Specific benefits/prices/periods shown on the store/in-App purchase page (the “Sale Notice”) prevail over these Terms for the validity period of the purchased product. 2-1) Algorithms, Interpretations & Your Consent (1) The Service’s algorithms/models/interpretation logic (including fortune/astrology) are proprietary to Waitcle and may change. (2) Outputs are probabilistic/interpretive and may be inaccurate or incomplete; results may vary with context/version/settings. (3) By using the Service, you consent to outputs generated under Waitcle’s proprietary interpretation and algorithmic approach. 3) Posting & Changes We publish these Terms in-App/on the website. We may update them within legal limits. Changes that are material or unfavorable to users (e.g., fees, data processing, expanded limitations of liability) will be announced at least 30 days in advance and, where required, will require your explicit consent. If you do not agree, you may terminate the Service and refunds (if any) will follow the stated criteria. Other changes will be announced at least 7 days in advance. 4) Accounts, Age & Eligibility Users under 14 in Korea are restricted. Users under 13 in COPPA regions are restricted. In the EU/UK and other regions, we follow local age thresholds and parental-consent requirements. Paid subscriptions must follow store policies and local laws. Minors may require guardian consent. You are responsible for device/account security. 5) Subscriptions, Billing, Renewal, Cancellation, Refunds 1) Plans: Premium or other paid plans may be offered; names/features may change. 2) Cycle: Monthly or annual auto-renewal; no free trial. 3) Auto-renewal: if not cancelled at least 24 hours before renewal, it renews for the next period. Cancel in the store’s “Manage Subscriptions.” 4) Prices/Benefits: as displayed on the store page; changes apply after reasonable prior notice and from the next renewal. 5) Refunds: governed by the App Store/Google Play policies. 6) Exceptions (our fault): for clear company errors (e.g., duplicate charge), contact support; we will assist within store policy and law. 7) Currency/Taxes: prices may include/exclude local taxes/fees. 8) Click-to-Cancel: cancel anytime via the store’s subscription management. 9) EU/UK withdrawal: for digital content started immediately with explicit consent, the 14-day right of withdrawal may not apply. 10) Permanent Service Discontinuation: if the Service is permanently discontinued (see §10) we provide a pro-rata refund or equivalent value for unused paid periods (first via store policy; if not possible, we settle directly by reasonable means). 6) User Content & Rights You retain rights to your inputs. You grant the Company a non-exclusive, non-transferable, worldwide, royalty-free license to use your inputs for providing/operating/improving the Service (see Privacy Policy for personal data). Quality improvement refers to aggregated/de-identified statistics and operational improvements, and user inputs are not used to train models as stated in the Privacy Policy. After termination, we may continue to use de-identified/aggregate data for service operation, protection, compliance, and quality. 7) IP Ownership Templates, models, algorithms, UI/design, code, and resources belong to Waitcle. You may not copy, distribute, modify, resell, repackage, or offer as a service (SaaS) without permission. 8) Prohibited Conduct & Enforcement No illegal/harmful content, rights infringement, reverse engineering, automated interference, malware/spam, unauthorized commercial redistribution, large-scale scraping/mining, or using the Service, Service features, resources, and outputs generated through the Service for the purpose of model training, AI training, or dataset construction. We may restrict access, hide, or remove content/accounts for violations or risks (except urgent/manifestly unlawful cases, we generally provide prior notice and an opportunity to explain). In particular, the following are prohibited: - Automated means (bots, scripts, etc.) for bulk requests/scraping/crawling - Providing, reselling, relaying, or SaaS‑izing the Service to third parties - Using the Service’s features/outputs/resources to build or operate third‑party services or datasets - Account takeover, authentication bypass, or exploiting security vulnerabilities 9) Third-Party Services Store billing (RevenueCat), ads/analytics (Firebase/AdMob) are subject to their terms. Manage ad/measurement choices in App → Settings → Privacy Options (Google UMP). 10) Changes & Discontinuation We may change or discontinue all/part of the Service. We strive to provide 30-day prior notice where commercially reasonable (post-notice if unavoidable). Settlement on permanent discontinuation follows §5-10. 11) Disclaimer The Service is provided “AS IS,” without warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by law. 12) Limitation of Liability To the maximum extent permitted by law, our total liability is capped at the greater of (i) the amount you paid to us in the 12 months before the claim or (ii) KRW 100,000 (or local equivalent). Mandatory laws and consumer protections prevail. This cap does not apply to our willful misconduct/gross negligence, bodily injury, fraud, or other mandatory liabilities. 13) Termination, Restrictions & Data Handling You may stop using the App at any time. We may limit or terminate use for violations (with prior notice; urgent cases may be after). On termination, we delete server-side user identifiers and user content per the Privacy Policy and applicable law (statutory records excluded). Local device data is your responsibility. Caution: restoring or using “overwrite backup” may replace/delete data on server or device—confirm before running. For service stability and abuse prevention, we may review usage patterns (request frequency, error patterns, abnormal traffic, etc.) only when abnormal use is reasonably suspected. If violations or security risks exist, we may, with prior notice where possible (or after in urgent cases), suspend service, restrict features, or block accounts/devices/networks. The retention and review scope of related records follow the Privacy Policy. 14) Privacy Personal data collection/use/retention/protection is governed by the Privacy Policy; if inconsistent, the Privacy Policy prevails. 15) Support & Notices Support: help@waitcle.com. Important notices may appear in-App or on our official website. We strive to respond within 30 business days. 16) Force Majeure We are not liable for delays/failures due to events beyond reasonable control (disasters, war, terrorism, power/network outages, major outages of cloud/store/billing/ad-analytics providers, or legal orders). 17) Severability, No Waiver, No Assignment If any provision is unenforceable, the rest remains in effect. Our failure to enforce is not a waiver. You may not assign rights/obligations without our written consent. 18) Copyright & Reports Report suspected infringements to help@waitcle.com with details; we act per law and policy. 19) Export Controls & Sanctions You must comply with applicable export control/sanctions laws and may not use the Service in embargoed/sanctioned jurisdictions. 20) Indemnification You will defend/indemnify the Company and its personnel/affiliates against losses/claims/costs (incl. reasonable attorneys’ fees) arising from your violations, third-party claims, or misuse, except to the extent caused by our willful misconduct/gross negligence. 21) Dispute Resolution — U.S. Residents (1) Except for small claims within jurisdictional limits, disputes are resolved by binding arbitration under AAA Consumer Rules with a single arbitrator via written/video remote procedures. (2) Class Action/Class Arbitration Waiver: only individual claims are permitted. (3) Opt-out: you may opt out within 30 days of first use by emailing help@waitcle.com. (4) Exceptions: (a) either party may seek injunctive relief for IP infringement, (b) small claims court is allowed where permitted. (5) If arbitration is unenforceable, §22 applies. 22) Governing Law & Venue These Terms are governed by the laws of the Republic of Korea. Disputes are subject to the exclusive jurisdiction of courts in Seoul (mandatory consumer laws of your residence prevail where applicable). Effective: October 7, 2025
